About John Legare Williams

My father was the first tax lawyer in Delaware. He trained a couple dozen other lawyers over the years from 1960-1999, many of whom went on to lead other law firms and trust departments at banks. He started his own law firm and incorporation service in 1974. When I finished law school I wanted to take this opportunity to have him train me, in what I called “home schooling.” I have worked with him since 2001 and have turned the incorporation service into an e-commerce business. He is still practicing law part time. I enjoy seeing my father almost every day and have tremendous respect for family businesses. After five summers of founding and running a driveways sealcoating business from 1993 to 1997 during high school and college, I developed an entrepreneurial perspective. I even experienced a business break-up when I was only 19 years old. After hauling 100 tons of coal tar and seal coating 500 driveways, I was ready for a change. This experience taught me an appreciation for hard work. During law school I had two summer clerkships, one in the Court of Chancery and another in the Delaware Supreme Court. I joined The Williams Law Firm, P.A. in 2001 and sat for a number of bar exams and have passed: Delaware, Pennsylvania, New Jersey, New York and Massachusetts.

Learning the law has been a joy. I have enjoyed the intellectual side of the practice of law and helping business owners solve problems. Most of my practice is general in that we represent small businesses and families with estate planning matters (pour-over wills, revocable trusts, living wills and durable powers of attorney). I also assist as Delaware Qualified Trustee for a handful of Delaware Dynasty Trusts and Delaware Asset Protection Trusts. In addition to estate planning, I am involved in litigation, mostly estate and business litigation, particularly business-divorce cases. I have had recent cases in the Delaware Court of Chancery (4-day trial in April 2015 over a large family farm in Dover), Superior Court (fighting large developers while representing a dairy farmer with the oldest century farm in Delaware) and Bankruptcy Court (corporate bankruptcy preference actions). I work with lawyers from across the country to move their admission pro-hac-vice in matters ranging from the Court of Chancery to Delaware District Court to the Delaware District Bankruptcy Court in Chapter 7 and Chapter 11 filings.

I have also enjoyed working with business owners, especially multi-generational family businesses and entrepreneurs on various transactions in all stages of the business life-cycle. I enjoy writing opinion letters for Delaware LLCs involved in multi-million dollar commercial mortgage backed security financing across the country, from multi-family housing to office buildings to commercial shopping centers.

Finally I operate a Delaware incorporation service and registered agent business under the name Agents and Corporations, Inc. with 16,000 entities including Pinterest. These Delaware entity services are available through an e-commerce website: https://www.incnow.com. I call this work in drafting LLC operating agreements, entity engineering.

    I have particularly enjoyed my focus on the Delaware Series LLC, including two cases where I was asked to be an expert witness. The Series LLC is a type of business which allows for businesses to protect many assets as though they were in separate LLCs all under one LLC filing. That has become a specialty of mine. We have formed over 1,000 Series LLCs. Most commonly they are used for multiple real estate holdings. Because of this experience I have become very active in the American Bar Association, for which I was appointed Chair of the Committee on Partnerships and LLCs for the Special Investors and Investment Structure Group, Section on Real Property, Trusts and Estates. Another outgrowth of that has been an appointment to the Uniform Law Commission as an ABA Advisor to a new Series LLC Act. Because only 12 states have the series LLC there is much uncertainty with regard to how they will be treated in the other 38 states. Therefore the Uniform Law Commission has undertaken a project to re-write the law on the series LLC they hope will be adopted uniformly across the nation in other states. Learning about LLC Acts of many states and engaging in high level policy discussions has been the most enjoyable part of this work.

    My love of the river started when I was rowing in high school for Wilmington Youth Rowing Association. I later served on the board of that organization for 8 years. I also have enjoyed coaching the University of Delaware Men's Crew as a volunteer since 2001. Rowing has also led to me starting an organization called the Christina Navy in 2003. The Christina Navy today helps to promote safe boating and clean water on the Christina River. That also led to my being appointed by Governor Minner and confirmed by the State Senate to the Delaware Natural Areas Advisory Council. Serving on that board since 2007, I was elected Chair in 2008. That council has dedicated nature preserves throughout Delaware protecting species habitat from development. Through that council I also was appointed to the Delaware State Parks Council. I worked with a number of wonderful state park projects which helped Delaware earn the title of Best State Park System in the United States in 2015. I was reappointed by Governor Markell to the Natural Advisory Council in 2013. I have since also joined the board of the Christina Conservancy. Most recently I have been nominated to be the President of Wilmington Rowing Center, which recently converted a warehouse into a boathouse on A-Street, near Southbridge. WRC has 150 voting members. Its facility also hosts high school rowing programs from Charter School Wilmington, Concord High School and Unionville High School. I have been involved in a few “colonial” organizations as well. I am membership chair of the Society of Colonial Wars Delaware Chapter and Corporate Secretary of the Kalmar Nyckel Foundation. The Kalmar Nyckel has a wonderful education mission. During my time the organization has launched a 4th grade lesson unit on how to build a colony. It has also been involved in STEM education. It is a great ambassador for the state of Delaware. Among the newest achievements was the construction of a $5 million education center on the 7th street peninsula.
