Ada Zahorodna focuses her practice on advising on M&A transactions and corporate law. She has experience working on a variety of M&A and private equity transactions (both domestic and cross-border), as well as joint-ventures and restructurings across a wide range of sectors.
Prior to joining GT, she gained experience in the M&A and corporate departments of other international law firms.

• Advised Bauer Media Group in connection with the sale of 100% of shares in its digital marketing agencies focused on delivering SEO services to WeNet, a company from the portfolio of Innova Capital, a Polish private equity fund.°
• Advised SD Worx in connection with the acquisition of TribePerk, an HR and payroll solutions provider for SMEs.°
• Advised TEP Capital, a Polish private equity fund, in connection with its acquisition of Profit4You, a company providing process outsourcing services in Poland for clients in the logistics and manufacturing industries and trading companies.°
• Advised Pepco Group N.V. in connection with the Polish law matters related to initial public offering of shares and their admission and introduction to trading on the regulated market operated by the Warsaw Stock Exchange S.A. The market capitalisation based on the share price at the debut was PLN 23 billion (EUR 5 billion). As part of the offering, 92,466,602 existing shares of Pepco were sold for gross proceeds of approximately PLN 3.7 billion (EUR 0.8 billion).°
• Advised Maspex Group in connection with execution of an agreement with Roust Corporation regarding the acquisition of 100% of the shares in Roust’s subsidiary, CEDC International, which represents the interests of the Roust group in Poland.°
• Advised Celsa Huta Ostrowiec sp.z o.o., one of the largest steel producers in Europe, in connection with the acquisition of 100% of shares in Stal-Service sp. z o.o.°
• Advised Logoplaste, a Carlyle portfolio company, in connection with the acquisition of a majority stake in Masterchem, a leading producer in the PET packaging market in Poland and the CEE region.°
• Advised Flokk AS, a Triton Partners portfolio company, in connection with the acquisition of Profim, a major manufacturer of office furniture in Poland and CEE from Innova Capital. As a result of the transaction, both Innova Capital, one of the leading private equity funds in the CEE region, and the other shareholders of Profim acquired shares in Flokk in exchange for their existing shares in Profim.°
