About Scott L. Hoffman

Scott Hoffman practiced law with a large firm in New York and Washington D.C. before joining the firm in 1996. He has represented financial institutions, Fortune 500 companies, governments, small businesses and individuals in a variety of U.S. and international legal matters. He has written extensively about business law and project finance.

A native of Ohio, Mr. Hoffman has represented clients throughout the globe. He has practiced law in New York, Washington, D.C. and Ohio, and has been lead counsel on energy and infrastructure finance projects, represented Fortune 500 companies in a range of financings and negotiations, served as an expert witness on finance, and advised small and large businesses on a variety of complex legal matters.

Reorganization of Out-Patient Surgery Center

When a group of local physicians wanted to reorganize the ownership of an outpatient surgery center, they turned to Scott for help. He negotiated the acquisition agreements, lease, and all of the related documents. Working with special regulatory counsel, Scott guided the deal to a successful closing.

International Contract Negotiation

Clients call on Scott to help negotiate complex contracts. He represented a large local business in the negotiation of a multi-year, international service agreement. Scott’s international experience helped him structure the transaction using multiple currencies and international tax risks.

Agricultural Debt Reorganization

Scott represented local farmers in the reorganization of several million dollars of debt that included additional tranches of debt, sale of assets, negotiation of work-out agreements, and specialized tax and banking advice.

Canadian Project Financing

When a Canadian engineering company wanted to develop a large project in Canada, it called on Scott to provide lead advice on financing and development. The project required structuring of output contracts, energy agreements and financing proposals.

Solar Power Development

Scott represented multiple landowners to negotiate sophisticated, 30-year land lease agreements to develop multi-million dollar solar power projects. Scott’s 40-plus years of experience with energy projects worldwide provided cutting-edge strategies for negotiating solar lease agreements that positioned the landowners to be included in a successful, financeable project. With many solar projects under development, and knowing that all cannot proceed, Scott’s experience in how energy projects are financed is essential to a successful project.

Ohio Health, Inc., Board Member (2006-2008)

Scott represented the Marion community on the Ohio Health Board of Directors—the system that operates Marion General Hospital. Ohio Health is a health system with 29,000 associates, physicians and volunteers, and a network of 11 hospitals, 200+ ambulatory sites, hospice, home health, medical equipment and other health services spanning 47 Ohio counties.

Marion General Hospital, Inc., Board Chairman (2003-2009)

Selected by the Hospital’s Governing Board, Scott served on the board’s operating committee, nominating committee and as Chairman from 2006-2008. He helped guide the hospital through a leadership transition and the successful negotiation of a new long-term lease between the City of Marion and the hospital.

Marion County United Way, Executive Board Member (2005-2007)

Scott served the United Way as a board member and allocations committee member as the organization transitioned from a fundraiser to a service organization that focuses on community needs evaluations and competitive funding.

Palace Cultural Arts Association, Board Chairman (2007-2016)

Scott led the Board of Directors for the Marion Palace Theatre, a 1,440-seat performing arts venue in Marion. The Palace is one of the few remaining atmospheric theatres in the world. He chaired the Board for two years, leading the organization through two executive director transitions. He also implemented nonprofit best practices and policies for board governance and financial controls.

Scott wrote a history of the 1928 theatre and donated the proceeds to the organization. A Theatre History of Marion, Ohio—John Eberson’s Palace is available from the theatre and wherever books are sold.
