  Representative Matters: Secured a reasonable settlement in a bad faith case involving denial of coverage for property loss stemming from the Sonoma fires. We successfully negotiated the settlement without extra-contractual exposure.
  Won summary judgment on behalf of the majority of members of a restaurant chain who had voted to dissolve the company which was organized as cooperative
  restructure it as a C corporation to allow for the franchising of the restaurants. A small group of dissenters sued, claiming that when the majority members ab
  oned the cooperative they forfeited their rights to its assets, including its intellectual property. The court found for our clients, persuaded by our argument that the plaintiffs lacked the authority to decide they were the cooperative's only remaining members
  therefore could not transfer the company's intellectual property to a new entity under their control.
  Terminated a bad faith lawsuit for which the plaintiff sought more than $200,000 in damages. We shut down the litigation when we negotiated with opposing counsel to arrange for our client to pay the homeowner a small fraction of that amount.
