About Rodrigo Orozco Waters

Rodrigo Orozco Waters represents clients in public and private financing projects as well as foreign investment transactions in the infrastructure, energy, manufacturing, financial, and commercial sectors in Mexico. Rodrigo has advised the Mexican federal government in the securitization of several funds and assets through the Mexican Stock Exchange, as well as the issuance of catastrophic bonds through the World Bank. He regularly advises states and municipalities in issuances of debt through the Mexican Stock Exchange and has been involved in many of the largest state-debt restructurings and refinancings in Mexico, having advised both banks and states.

Rodrigo also has broad experience in M&A transactions involving the financial and other regulated sectors.

    Experience: Representative Matters: Value Arrendadora.: Representation on securing a MXN $2,910 million credit line with Banobras, intended to finance infrastructure
    public services projects in Mexico.

    Grupo Olvera.: Representation of Grupo Olvera in the sale of majority ownership in Eno, one of chef Enrique Olvera's restaurant chains, to Grupo La Mansion.

    Government of the State of Veracruz.: Represented the Government of the state of Veracruz in the restructuring of two financings that together amount to MXN$4.8 billion (US$240 million).

    APP Caminos del Sur: . Represented Banco Azteca (BAZ) in granting a syndicated loan in favor of Conservadora Mexiquense de Caminos del Sur to be used in the public-private partnership (PPP) project for the rehabilitation
    conservation of 1,637 kilometers of roads
    highways in the state of Mexico. The loan was granted in the amount of MXN$4.47 billion
    is divided into several tranches.

    Tren Maya: . Represented BANOBRAS in a transaction granting a loan to ICA, to be used in the construction of the fourth section of the Mayan Train (Izamal-Cancun), in the amount of MXN$4 billion.

    Gran Museo del Mundo Maya: . Represented Banorte in the acquisition, via financial factoring, of the collection rights for MXN$4 billion derived from the termination payments the state of Yucatan must cover in connection with the service contract of the Gran Museo del Mundo Maya de Merida.

    APP Veracruz: . Advised the Mexican federal government in the negotiation of the first PPP contract for the construction of a federal penitentiary center in the state of Veracruz with an initial investment of MXN$6 billion.

    CATBONDS: . Advised the Mexican federal government in the issuance
    international placement of Mexico's catastrophe bonds.

    Bonos Verdes: . In 2017
    2018, advised Mexico City's government in the implementation
    structuring of an annual issuance program backed by the federal government. This was the first green-bonds issuance of its kind made by a city in Latin America.

    Subnational Debt Restructuring: . Represented several Mexican states
    municipalities in the restructuring
    refinancing of their total public debt for amounts up to MXN$50 billion.

    CDMX Earthquake: . Advised the Mexico City government in the negotiation
    implementation of a trust for granting mortgage loans to people affected by the 2017 earthquake in Mexico City.

    Bonos CIEN: . Advised the federal government
    its 32 federal entities in the securitization of the Fondo de Aportaciones Multiples (FAM) for the placement of MXN$50 billion for the development
    construction of educational infrastructure.

    CPS OADPRS: . Represented the federal government in the financing
    compliance of the agreements for the provision of services for eight federal penitentiary centers.

    Restructuring & Bankruptcy: Represented one of the main bondholders in the restructuring
    bankruptcy proceeding of a developer of sustainable energy technologies
    projects. The company's original issuance program was MXN$3 billion.
    Advised
    represented a Mexican federal government entity in bankruptcy proceedings of various companies dedicated to the construction of social interest housing. The first two loans granted to bankrupted companies (DIP financing) were structured
    implemented under the new Mexican Bankruptcy Law published in 2014.
    Advised
    represented several bank creditors in the restructuring
    bankruptcy proceeding of one of Mexico's main retail companies. The total amount of the loans in favor of the bankrupted company was, at the time, approximately MXN$20 billion.
    Represented the state of Veracruz Ignacio de la Llave in the restructuring
    refinancing proceeding of all its public debt for a total amount of MXN$46 billion.
    Advised the state of Chihuahua in the restructuring proceeding of its public debt for approximately MXN$36 billion.
    Represented the state of Nuevo Leon in the restructuring proceeding of its public debt for MXN$38.343 billion.
    Advised an ad hoc banking committee in the first restructuring of the state of Mexico's public debt. Subsequently, advised most of the private
    governmental bank creditors of the state of Mexico in a second debt restructuring for MXN$35 billion.
    Legal advisor in the refinancing
    restructuring proceeding of the entire public debt of Mexico City, which, at the time, exceeded MXN$50 billion.
