Yes you need to start before the end of the 5th year (counting H-1B and L time) and be sure to allow enough time for recruitment before you file so figure at year 4 and ? to start the green card at the latest (You are allowed to start sooner if your employer is willing.)

You must first legally divorce in California before you marry again. It takes about 6 months for the divorce process. As long as one of the spouses reside in California, then it is OK. You don't have to wait for an annulment in the Philippines.
