Not enough information. Are you a US citizen? If you get married to him and you are a US citizen; then he can file for his permanent residence here in the US and would not need to leave the US to apply. There is no monetary penalty and his overstay is forgiven under INA Section 245(a). His brother's case will take about 11 years and he would need to leave the US to apply for an immigrant visa.

If you travel outside of the US less than 6 months every year, you would still qualify for naturalization. If you need to travel for longer than 6 months, you can sometimes preserve your residency if you will be working for the US government or a US company oversea for an extended period of time. The application is filed on form N-470.

In order for you to apply for adjustment of status, you need to be married to a US citizen, not a resident. If your child was born in the US, the child would automatically be a US citizen.
