You can invite her to visit and then propose after she enters U.S. Then wait a month to get married so it doesn't look too planned. Then you can file for the green card! Please consult with an experienced immigration lawyer before making any travel plans.

Hi. If you are new H1b was filed before the other is withdrawn, you should be ok. You should speak your company attorneys also. You may need to expedite and pay the premium processing to ensure the change of employer instead of waiting and having USCIS deny because the 1st one was withdrawn.
