Mr. TerBeek advises clients in a wide variety of general business practice, including business formation, purchase and sale transactions, contract formation, employee issues, leases, and real estate purchases. Mr. TerBeek advises and files appropriate Articles of Incorporation or Articles of Organization for various types of companies and corporations, depending on the needs of his clients. These include s-corp and closely held corporations, limited liability companies (LLC), and non-profit corporations. Mr. TerBeek also works to establish 501(c) non-profit status with the Internal Revenue Service (IRS) for qualified charitable organizations and foundations.
He is also an experienced commercial litigator, handling all aspects of simple and complex litigation cases from the service of notice, Complaint or Answer through to jury or non-jury trial and beyond. Mr. TerBeek has handled numerous disputes involved complex contract law, including cases arising from the Uniform Commercial Code (UCC), service disputes, construction law (liens and sub-contractor issues), and warranty claims. Mr. TerBeek also frequently assists clients in resolving conflicts regarding ownership or management of businesses, such as shareholder disputes, LLC Membership disputes, derivative actions by a shareholder on behalf a corporation, minority owner oppression in corporate or LLC, and other business breakdowns and dissolutions.
Additionally, Mr. TerBeek has an extensive estate planning practice, providing effective and efficient solutions for simple or complex situations. These frequently involve wills, trusts, living wills or medical powers of attorney, durable powers of attorney for financial matters, deeds, personal property allocations, special needs trust provisions, spend-thrift trust provisions, and related real estate or personal property funding of the estate plan.
Mr. TerBeek is also devoted to his family, and has served in various volunteer roles with Calvin Christian Reformed Church, Global Gifts, AnchorPoint Christian School, and the Grand Rapids chapter of the Calvin College Alumni Association.
