Rasika Kulkarni focuses her practice on capital markets and public company compliance. She has experience representing issuers, selling shareholders, and underwriters in initial public offerings, follow-on offerings, and secondary public offerings. Additionally, she advises companies on an array of capital raising transactions such as preferred stock, SAFEs, convertible notes, private placements, PIPEs, equity lines of credit, and at-the-market offerings.
Rasika has strong experience and knowledge of the U.S. Securities Act of 1933 and the Exchange Act of 1934, including registration statements, proxy and consent solicitations, periodic and current reports, Section 13 and Section 16 reporting, Rule 144 resales, stock incentive plans, and corporate governance. Rasika works closely with boards of directors, management, and founders and focuses on driving efficient and practical strategies and execution.
Rasika also supports U.S. – India business operations helping Indian entrepreneurs exploring business opportunities in the U.S. market and seeking corporate advice.

Representative Matters
• Ongoing representation of a biosciences Nasdaq listed company in fundraising and securities law compliance. Recent transactions include public offerings such as equity line of credit, at-the-market offering, proxy solicitations, reverse stock splits, and registration of shares underlying equity incentive plan.°
• Advised a high-speed 3D printing company in its $150 million distressed asset sale to a large additive manufacturer. Led all securities law aspects of the transaction.°
• Represented underwriter in its underwritten public offering of an emerging sports company and listing on Nasdaq.°
• Represented an OTCQB bank holding company in its approximately $200 million merger with a Nasdaq listing bank holding company and assisted with related securities filings.°
• Represented the largest selling shareholder in a $300+ million initial public offering of a large fitness outfit with gym locations all across the United States.°
• Advised an ag-tech company combating food waste in its venture capital financing of $70 million of Series C preferred stock, using NVCA model documents.°
• Represented and advised an OTC quoted biotechnology publicly reporting company in multiple transactions including uplisting to Nasdaq, reverse stock splits, merger with an Australian corporation, and Exchange Act filings.°
• Represented a bank holding corporation in a $90 million 3.25% Fixed-to-Floating Rate Subordinated Notes issuance in a private placement.°
• Represented an OTCQX bank holding company (non-reporting) in a proxy contest regarding appointment of directors to the Board and a shareholder proposal to mandate the board to explore strategic sale options.°
• Represented an OTCQB company in its registered direct offering of $7 million of common stock.°
• Represented an OTC company in its 100% stock sale at $20 million to NASDAQ-listed bank holding company.°
• Represented several start-ups and emerging companies in corporate formations, early capital raises and private placements pursuant to Regulation D of the Securities Act of 1933.°
